1. ACCEPTANCE OF TERMS
   
   

   1. By accessing or using the www.supplychaineurope.com website (hereinafter referred to as the ‘Site’) in any way, including downloading any materials or merely browsing the site, you agree to and are bound by the terms of use set forth in this terms of use (hereinafter ‘Terms of Use’).

   2. Supply Chain Europe Limited (hereinafter “SCE” or “the Company”) reserves the right to review and amend the Terms of Use and other guidelines at its sole discretion without prior notification. Your continued access and use of the Site Materials (defined in Clause 3 below) will be deemed to indicate your acceptance of the most current version of the Terms of Use.

   3. If you do not agree to all of the terms and conditions contained in the Terms of Use do not access or use this Site.

   4. Please regularly check the "Terms of Use" link on the home page of the Site to view the then-current terms.

   5. If you breach any of the Terms of Use, your authorisation to access or use the Site automatically terminates, and any Materials and/or information downloaded or printed from the Site shall be deemed to be in violation of the Terms of Use and must be immediately destroyed.

      
      
2. GENERAL
   
   

   1. The Terms of Use constitute the entire agreement between SCE and you with respect to your access to or use of the Site superseding any prior agreements between you and SCE.

   2. When purchasing products and/or publications or requesting SCE to provide services (hereinafter collectively as ‘Products’), such Products shall be provided in accordance with the terms and conditions of SCE’s Sales and Supply Terms found at its business premises and in its sales literature.

   1. SCE makes the Site available for your access and use subject to the Terms of Use.

   2. "Materials" means all information, data, documents, communications, downloads, files, text, images, photographs, graphics, publications, content and resources made available on the Site free of charge.

   3. As the information, including the Materials on this Site may be incomplete, out of date or inaccurate, and may contain technical inaccuracies or typographical errors SCE reserves the right to update the Site at its sole discretion. Thus, such information may be changed or updated without notice.

   4. SCE may also make improvements and/or changes in the Materials, Products or (where applicable) prices described on this Site at any time without notice. It is therefore essential that you verify all such information with SCE before taking any action in reliance upon it.

      
      
4. USE OF SITE



1. While the Company endeavours to ensure that the Site is available 24 hours a day, the Company will not be liable if for any reason, the Site is unavailable at any time or for any period.



5. INTELLECTUAL PROPERTY



1. The contents and Materials of the Site are protected by copyright, database right, trademark and other intellectual property rights (hereinafter ‘IPR’). You acknowledge that all IPR used on the Site is owned by or is lawfully licensed to SCE.

2. The copying or incorporation into any other work of part or all of the contents and/or Materials available on the Site in any form is strictly prohibited save that you may:

   • print or download extracts of the contents and Materials on the Site for your personal use; or

   • copy the contents and/or Materials on the Site for the purpose of sending to individual third parties for their personal information, provided that you acknowledge SCE as the source of the material and that you inform the third party that these conditions apply to them and that they must comply with them.

   • Subject to the conditions set out in Clauses 5.i and 5.ii above, any assignment, sub-license or any transfer of your rights under these terms and conditions are prohibited.

1. Links to external websites on the Site are provided solely for your convenience. If you use these links, you leave the Site. SCE does not accept any responsibility for the content of the external website.

2. In addition, a link to a non-SCE website does not mean that SCE endorses or accepts any responsibility for the content, or the use, of such website. It is up to you to take precautions to ensure that whatever you select for your use is free of such items as viruses, worms, trojans and other items of a destructive nature.

3. The Site may be linked to any website unless otherwise stated.



7. PERSONAL INFORMATION AND PRIVACY



1. SCE will use and protect your data, such as your name and address, in accordance with the terms outlined in the Online Privacy Policy.



8. GLOBAL NATURE OF THE SITE



1. You recognise the global nature of the Site and thus, agree to comply with all applicable local laws in your jurisdiction when using the Site. In particular, you agree to comply with all relevant laws regarding transmission of technical data sent out from your jurisdiction and the European Union.

2. Information SCE publishes on the Site may contain references or cross-references to SCE publications, products, programs and services that are not announced or available in your country. Such references do not imply that SCE intends to announce such products, publications, programs or services in your country. Consult SCE for information regarding the products, publications, programs and services which may be available to you.

3. SCE does not warrant that the contents and/or Materials on the Site are suitable for use outside the United Kingdom. IN NO EVENT WILL SCE BE LIABLE TO ANY PARTY FOR ANY DIRECT, INDIRECT, SPECIAL OR OTHER CONSEQUENTIAL DAMAGES FOR ANY USE OF THE SITE OR ON ANY OTHER HYPER-LINKED WEBSITE INCLUDING, WITHOUT LIMITATION, ANY LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR OTHER DATA ON YOUR INFORMATION HANDLING SYSTEM OR OTHERWISE, EVEN IF SCE IS EXPRESSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.



11. GOVERNING LAW



1. You agree that this Terms of Use shall be exclusively governed in accordance with the laws of and the courts in England and Wales.
